Employee Issues
We provides representation in all aspects of employment law, from issues that arise during business formation to litigation; employee benefits issues; drafting, analyzing and implementing employee policies, procedures and employee benefit plans; hiring and termination; drafting and negotiating employee agreements, including executive compensation agreements; and, drafting, negotiating and enforcing non-competition and non-disclosure agreements. We have also developed materials and training to help prevent employee claims and protect employer interests. Our attorneys have conducted internal investigations and have experience representing employers in regulatory, compliance and administrative matters before federal, state and local agencies and have courtroom experience defending employee claims that result in litigation. These claims include harassment, wrongful discharge, discrimination, wage payment, breach of contract and ERISA issues.
Intellectual Property & E-Business
An often valuable and overlooked business asset is intellectual property rights. The firm is well equipped to handle copyrights, tradename and trademark registrations, as well as litigation in these areas. The firm also advises and documents the transfer of these rights in mergers and acquisitions. We assist clients on the issuance of patents and advises commercial clients in the rapidly developing area of internet law and e.business as well as jurisdictional issues arising therefrom.
Contracts
In business operations a variety of issues can arise that are best handled by clear contractual agreements. Our attorneys have extensive experience in documenting business agreements. These include employment agreements, executive compensation, shareholder agreements, split-dollar agreements, benefit plans, secured transaction documents, third party transactions, and merger and acquisition documentation. Baldwin Haspel has an extensive reference library of more commonly used agreements which can be tailored to individual needs and the firm routinely creates unique one-of-a-kind documents to memorialize the particular situation.
Employee Benefits
Our attorneys have extensive experience in employee benefit matters including drafting and administration of both qualified and non-qualified plans. The firm also represents clients before the Internal Revenue Service and the Department of Labor on benefit plan matters.
